1. Acceptance of Terms
By purchasing, accessing, downloading, installing, or using the Lead Scan application (“Sense Media Group Ltd”, “Service”, “Platform”), you (“Licensee”, “Exhibitor”, “User”, or “Customer”) agree to be bound by these License Terms and Conditions.
If you do not agree to these Terms, you must not access or use the Service.
2. License Grant
Subject to compliance with these Terms and payment of all applicable fees, Sense Media Group Ltd grants the Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the purpose of collecting and managing leads during authorised events.
This license does not transfer ownership of the Service or any intellectual property rights.
3. Authorised Users
The Licensee may authorise employees, contractors, or representatives working on behalf of the Licensee to access the Service during an event.
The Licensee is responsible for:
- Maintaining the confidentiality of login credentials.
- All activity conducted under its account.
- Ensuring users comply with these Terms.
4. Lead Data Collection
The Service enables exhibitors and sponsors to collect attendee information through badge scanning, QR code scanning, RFID technology, NFC technology, or other approved methods.
The Licensee acknowledges that:
- Lead information is provided based on attendee consent and event organizer settings.
- The availability and accuracy of lead data depend on the information supplied by attendees and event organisers.
- Sense Media Group Ltd does not guarantee the completeness or accuracy of attendee information.
5. Data Usage Restrictions
The Licensee agrees to use collected lead information only for legitimate business, sales, marketing, networking, or customer relationship purposes connected with the relevant event.
The Licensee shall not:
- Sell attendee data to third parties.
- Share lead data with unauthorised parties.
- Use lead information in violation of applicable laws.
- Send unsolicited communications where consent is required.
- Use collected data for unlawful, fraudulent, or misleading activities.
6. Privacy and Data Protection
Each party shall comply with applicable privacy and data protection laws, including but not limited to:
- UK GDPR
- EU GDPR
- Data Protection Act 2018
- Applicable regional privacy regulations
Where attendee personal data is processed, the Licensee acts as an independent data controller for any use of lead data after collection.
The Licensee is solely responsible for:
- Obtaining any required consents.
- Maintaining lawful grounds for processing.
- Responding to data subject requests.
- Retaining and deleting data appropriately.
7. Event Organiser Controls
The event organiser may determine:
- Which attendee information is shared.
- Which exhibitors receive access.
- Event-specific lead retrieval settings.
- Data retention periods.
Sense Media Group Ltd reserves the right to comply with organiser instructions relating to event operations and attendee privacy.
8. Fees and Payments
Access to the Service may require payment of license fees.
Unless otherwise agreed:
- Fees are non-refundable.
- Licenses are issued per event, per user, per device, or per package purchased.
- Unpaid accounts may be suspended or terminated.
Taxes, duties, and governmental charges remain the responsibility of the Licensee.
9. Intellectual Property
All rights, title, and interest in the Service remain the exclusive property of Sense Media Group Ltd and its licensors.
The Licensee may not:
- Modify or reverse engineer the software.
- Create derivative works.
- Copy, distribute, or sublicense the Service.
- Remove copyright or proprietary notices.
10. Service Availability
Sense Media Group Ltd will use commercially reasonable efforts to provide access to the Service.
However, Sense Media Group Ltd does not guarantee:
- Continuous availability.
- Uninterrupted operation.
- Error-free performance.
Service interruptions may occur due to:
- Internet connectivity issues.
- Venue infrastructure limitations.
- Third-party platform failures.
- System maintenance.
11. Device Requirements
The Licensee is responsible for providing compatible devices, internet connectivity, and operating systems necessary to access the Service.
Sense Media Group Ltd is not responsible for failures resulting from unsupported devices or third-party software.
12. Export and Retention of Leads
The Licensee may export lead data during the license period subject to plan limitations.
Sense Media Group Ltd reserves the right to delete lead data after the applicable retention period unless otherwise agreed in writing.
Customers are responsible for maintaining copies of exported lead data.
13. Prohibited Conduct
Users may not:
- Attempt unauthorised access to the platform.
- Circumvent security measures.
- Introduce malware or harmful code.
- Interfere with platform operations.
- Use automated scraping tools.
- Misrepresent identity or affiliation.
Sense Media Group Ltd may suspend access immediately upon detecting prohibited conduct.
14. Suspension and Termination
Sense Media Group Ltd may suspend or terminate access to the Service where:
- These Terms are violated.
- Payment obligations remain outstanding.
- Fraudulent or illegal activity is suspected.
- Continued access presents security risks.
Upon termination, all licenses granted under these Terms immediately cease.
15. Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted by law, Sense Media Group Ltd disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of information
16. Limitation of Liability
To the maximum extent permitted by law, Sense Media Group Ltd shall not be liable for:
- Lost profits
- Lost business opportunities
- Loss of goodwill
- Loss of data
- Indirect, incidental, special, consequential, or punitive damages
Sense Media Group Ltd’s total aggregate liability arising out of or relating to the Service shall not exceed the amount paid by the Licensee for the applicable license during the twelve (12) months preceding the claim.
17. Indemnification
The Licensee agrees to defend, indemnify, and hold harmless Sense Media Group Ltd, its affiliates, officers, employees, and partners from claims, damages, liabilities, costs, and expenses arising from:
- Violation of these Terms.
- Misuse of attendee data.
- Violation of privacy regulations.
- Unlawful marketing activities.
18. Confidentiality
Any non-public business, technical, operational, or attendee-related information disclosed through the Service shall be treated as confidential and used only for authorised purposes.
19. Changes to Terms
Sense Media Group Ltd may update these Terms at any time.
Continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
